1. Introduction
Welcome to Elevate Innovation Group ("we," "us," "our," or "the Company"). These Terms and Conditions ("Terms") govern your use of our website, services, and any engagements between you ("Client," "you," "your") and Elevate Innovation Group. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services or website.
Elevate Innovation Group provides business administration services including, but not limited to, company registrations, compliance registrations, tax and SARS services, accounting services, CIPC services, and business & marketing solutions. These Terms apply to all services provided by us, whether online or offline.
2. Services & Engagement
All services provided by Elevate Innovation Group are subject to these Terms. A formal engagement is confirmed when:
- The Client requests a service via our website, email, or phone; and
- We provide a written confirmation (including via email) outlining the scope of work, fees, and estimated turnaround times; and
- The Client accepts the proposal, either explicitly or by making payment.
We reserve the right to refuse service to any person or entity for any reason, including but not limited to incomplete information, potential conflicts of interest, or failure to meet compliance requirements. All services are provided on a best-effort basis, and while we strive for accuracy, we do not guarantee specific outcomes (e.g., approval of registrations by third parties such as CIPC or SARS).
3. Payments & Fees
All fees are quoted in South African Rand (ZAR) and are exclusive of VAT unless stated otherwise. Payment terms are as follows:
- Upfront Payment: Most services require 100% payment before work commences. In certain cases (e.g., ongoing accounting services), a retainer or monthly invoicing may apply.
- Third-Party Costs: Government filing fees (CIPC, SARS, NHBRC, etc.) are billed separately and are non-refundable once submitted.
- Late Payment: Invoices not paid within 14 days of the due date may accrue interest at 2% per month, and we reserve the right to suspend services until full payment is received.
Refunds are provided at our sole discretion. Fees for services that have already commenced (e.g., filings submitted, work partially completed) are non-refundable. If we are unable to complete a service due to circumstances beyond our control (e.g., incorrect client information), no refund will be issued.
4. Turnaround Times
Estimated turnaround times provided on our website, service descriptions, or proposals are approximate and subject to change based on third-party processing times (e.g., CIPC, SARS). While we strive to meet all deadlines, we are not liable for delays caused by government agencies, public holidays, or incomplete information from the Client. Clients are encouraged to provide all required documentation promptly to avoid delays.
5. Client Obligations
To enable us to deliver services effectively, you agree to:
- Provide accurate, complete, and up-to-date information and documentation as requested;
- Respond to our inquiries within reasonable timeframes;
- Notify us promptly of any changes to your business details, directors, or contact information;
- Ensure you have the legal authority to engage us on behalf of your business or entity.
We are not responsible for any penalties, fines, or legal consequences arising from inaccurate or incomplete information provided by the Client. It is your responsibility to verify the accuracy of any filings or documents prepared by us before submission where possible.
6. Limitation of Liability
To the maximum extent permitted by South African law, Elevate Innovation Group and its employees, directors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities arising out of or related to the use of our services or website.
Our total liability to you for any claim arising from these Terms or our services shall not exceed the total fees paid by you to us in the six (6) months preceding the claim. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.
We do not provide legal or financial advice unless explicitly stated. Clients are encouraged to seek independent legal or financial counsel where appropriate.
7. Intellectual Property
All content on our website, including text, graphics, logos, icons, and software, is the property of Elevate Innovation Group or its content suppliers and is protected by South African and international copyright laws. You may not reproduce, distribute, modify, or create derivative works of any content without our express written permission.
Any deliverables created for you (e.g., logo designs, business profiles, website designs) are licensed to you upon full payment. Ownership of such deliverables transfers to you after full settlement, provided all third-party licenses (e.g., fonts, stock images) are respected. We retain the right to display completed work in our portfolio unless otherwise agreed in writing.
8. Confidentiality
We treat all client information with the utmost confidentiality. We will not disclose your personal or business information to third parties except:
- As necessary to perform the services (e.g., submitting filings to CIPC or SARS);
- When required by law, court order, or government regulation;
- With your explicit consent.
Our employees and contractors are bound by confidentiality agreements. While we implement industry-standard security measures, we cannot guarantee absolute security of electronic communications.
9. Termination
Either party may terminate an engagement by providing written notice. Upon termination:
- The Client remains liable for all fees for services rendered up to the termination date;
- We will deliver any completed work and return client documents upon request, subject to payment of outstanding fees;
- We reserve the right to retain documents where required by law or where fees remain unpaid.
We may terminate this agreement immediately if the Client breaches any material term of these Terms, provides false information, or engages in unlawful conduct.
10. Governing Law
These Terms and any disputes arising from our services shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any legal action or proceeding shall be brought exclusively in the courts of Pretoria, South Africa, and you consent to the jurisdiction of such courts.
11. Amendments
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or services after any changes constitutes acceptance of the revised Terms. Material changes will be communicated via email where possible.
